he Apartment Association of Orange County (AAOC) has a long and distinguished history serving apartment owners and operators, managers, suppliers, and other rentalhousing industry professionals. It has established itself as a leading force among apartment associations at the local, state, and national levels, and it has done much during its 61-year history to provide its members with an array of valuable services and resources. I am truly proud to be a member of our fine AAOC, and of all that it does for its members and the rental-housing industry. The AAOC fights to protect and advance your interests as rental-housing providers and industry suppliers, as well as to help you grow professionally through its education programming, legislative advocacy, membership meetings, networking and business development events, operational guidance, and more. standing board of directors to guide our association, active committees to generate ideas and new approaches to ensure the needs of our members continue to be met, and a dedicated professional staff to take all the ideas and direction it receives and then implement it — in addition to so much more. There is no doubt in my mind that our association’s leadership, our members’ dedication, our partners’ support, and our staff ’s diligent service have all contributed significantly to the betterment of our rental-housing industry over the years. I am also proud to be a member of our AAOC because there are so many individuals who haven’t necessarily served in a leadership or committee role, but who have dedicated themselves to giving back to their fellow members in other ways and investing in the next generation of rental-housing industry professionals. This is seen most often with members who have found success and then come back to teach classes for AAOC, imparting their knowledge and experience, and helping to ensure the next generation is also positioned for success of their own. I have been a member of the Apartment Association of Orange County for more than 20 years, and there is no doubt in my mind that my involvement as both a member and volunteer has contributed to my professional success, including my development as a leader in our industry. As your president, I am honored to continue serving you and our association, as well as the

greater rental housing industry. To our board and committee members who volunteer their time in service to their fellow members, and to the betterment of our association and the rental housing industry — I thank you. To our professional staff who work tirelessly to provide our members with excellent service, including state and local government advocacy, operational guidance, developing and implementing outstanding education programs, as well as organizing and presenting other association events, meetings, classes, and more — I thank you. To our members who have volunteered their time, talents, and resources over the years, whether as educational instructors, political activists or donors, or in some other form of service to their fellow members and our association — I thank you. A Little Less Rent, and A Lot More Possession

A

ssembly Bill 2179 (Grayson) was introduced as a “spot bill” on February 15, 2022. Spot bills are simply considered “placeholder bills.” Generally speaking, they are to be amended later in the legislative session and, once amended, are quite substantive. This bill really lived up to what everyone expected in the landlord and tenant arena. On March 24, 2022, the auther gutted all of the language that was in the bill, as introduced, and replaced it with meaningful and

impactful new language extending the COVID-19 Tenancy Act by: 1. Extending through June 30, 2022 the statewide procedural protections against eviction based on the nonpayment of rent that accumulated between March 1, 2020 and March 31, 2022, as long the tenant applied by March 31, 2022 for emergency rental assistance. 2. Mandating another form (or notice) that landlords must provide to

tenants after March 31, 2022 and before July 1, 2022, prior to seeking a court order for eviction based on nonpayment of rent. 3. Extends the statewide preemption of local government laws: a. Local ordinances adopted before August 19, 2020 in response to COVID-19 pandemic, to provide protection against eviction for the nonpayment of rent, were grandfathered in.


b. City and county ordinances are preempted from applying new or additional tenant protections against eviction for nonpayment of rent that accrued on or before March 31, 2022. C. For rent that accrues on and after April 1, 2022, local governments are free to establish addition protections. The bill continues to use the remaining $5.2 billion in federal Emergency Rental Assistance Program (known as ERAP) funding. The state administration claims that it will commit all funds on or before June 30, 2022. This, in our judgment, is highly unlikely.

Notices: If a lessor served a lessee with a Notice demanding payment of rent that came due during the Transition Time Period, the Notice required specific language if it was served on or after October 1, 2021. The Bill has added an ending date pertaining to this particular Notice, and its specific language. Lessors are now required to use this Notice with its specific language if served on April 1, 2022 through June 30, 2022. If rent became due during the same time period, and its Notice is served on or after April 1, 2022, and before July 1, 2022, the Notice shall include the following text in at least 12-point type: Notice From The State Of California: If: (1) Before October 1, 2021, you paid your landlord at least 25 percent of any rent you missed between September 1, 2020, and September 30, 2021, and you signed and returned on time any and all declarations of COVID-19 related financial distress that your landlord gave to you, or (2) You completed an application for government rental assistance on or before March 31, 2022, you may have protections against eviction. Sacramento — continued from 7 correct notice to tenants. Our associstion is pleased to provide that notice for members use. Preemption: The COVID-19 Tenancy Act previously placed a state preemption on local governments that prohibited the implementation of any NEW local government ordinance that conflicts with the Act. Previous law stated that the prohibition would occur between August 19, 2020 and March 31, 2022; however, The BILL extended the prohibition date to June 30, 2022 in order to continue providing tenant protections against eviction for non-payment of COVID-19 rental debt. Litigation: Previous law prohibited the court from issuing a summons and complaint in an unlawful detainer action unless the lessor filed particular documents and statements, if the action was filed on or after October 1, 2021, and before March 31, 2022; however, the Bill extends that time frame to before July 1, 2022. The Bill also requires an additional statement to be filed with the court, if the action is filed on or after October 1, 2021, and before July 1, 2022; which is as follows: A statement, under penalty of perjury, that a determination is not pending on an application, filed prior to April 1, 2022, for government rental assistance to cover any part of the rental debt demanded from the defendants in the case. As it pertains to a judgment or default judgment in favor of the lessor, existing law required the lessor to provide evidence that an application for rental assistance was made to the pertinent governmental rental assistance program, and that the application had been denied based on certain criteria. While this remains true, the Bill keeps those requirements for actions filed before April 1, 2022. In actions filed on or after April 1,

2022, and before July 1, 2022, a judgment or default judgment shall not be issued in favor of the lessor unless the lessor provides evidence that an application for rental assistance was made to the pertinent governmental rental assistance program; the application was denied based on a lack of eligibility, lack of funding, or the application remained incomplete due to tenant’s failure to properly complete the portion of the application; and a determination is not pending on the application, filed prior to April 1, 2022, to cover all or any part of the rent debt demanded. Compensation: Previous law prohibited any provision of any ordinance, resolution, regulation, or administrative action adopted by a local government that was in effect on August 19, 2020, that included language pertaining to COVID-19 rental debt repayment and when it was due. The Bill has also extended the effective dates for when a provision (mentioned above) adopted by a local government may be effective. Essentially, a lessee may now be expected to begin repayment as of August 1, 2022; however, the provision may not permit a lessee to extend repayment beyond August 31, 2023. Furthermore, a lessor must be compensated for all of the unpaid COVID19 rental debt incurred on or after October 1, 2021, and before April 1, 2022. The Bill only cleaned up the language here, permitting recovery for the entire month of March, as opposed to excluding March 31st.

The Hearing

Tenant testimony proved to violently oppose the Bill based on the PREEMPTION, seemingly because tenants have figured out that they are now in control of local governments. The Bill prohibits local governments to adopt more restrictive evictions requirements, which would permit tenants to remain in possession without having to pay rent whenever a subsequent COVID outbreak occurs, which

means for the unforeseeable future.

Conclusion

The Bill’s added language and continued extensions maintain an unequitable burdern for lessors to bear while lessees benefit from their contractual rights pursuant to a rental agreement that lessees voluntarily entered into. Clearly, thousands of tenants that are not adversely affected by the pandemic took advantage of the new law by not paying rent during the past 27 months. Clearly, thousands of tenants cannot qualify for rental assistance because they earn too much money, yet the legislature and local governments protect those tenants in the same manner of tenants that were adversely affected by COVID-19 and who do financially qualify for rental assistance. The Bill also fails to address the “elephant in the room,” which is fact that all a lessee is required to do is simply sign and date a state prepared declaration form that the tenant claims they have been adversely affected by COVID-19 impact that ostensibly prevents them from paying rent, without an iota of evidence proving the inability to oblige their contractual obligation, while at the same time remaining in possession. It is noteworthy that there is no other legal construct that has such a low hurdle for a debtor. It every other situation, debtors must show they cannot meet their financial obligations. …And this is exactly what lessees want — to remain in possession, free of charge…But what happens when a lessee can’t remain in possession for free using COVID-19 impact as a viable excuse to do so? The COVID-19 Tenancy Act makes collecting COVID-19 Rental Debt from a tenant who has accrued rental debt, but is no longer in possession, extremely difficult. It is clear now that the COVID-19 Tenancy Act is no longer conducive for lessors or lessees because continued extensions are met with opposition. Sacramento — continued on page 12

June Primaries, and Local Realities

B

usinesses — and especially multifamily housing businesses — in California find themselves within the constantly increasing reach of “Big Brother.” Long gone are the days of California’s “Gold Rush” for most businesses that feel more like they are getting “Punk’d” with each legislative session. With a constant stream of “Catfish” candidates that make Sacramento one big season of “Survivor,” it’s hard not to feel “Alone.” Sadly, today’s legislative realities feel more like a reality TV show, than they do actual reality. Elections are our opportunity to affect that. There are two key elections this year in which we will have an opportunity to make that change — our June 7th Primary election, and our November 8th General Election. While we will have the opportunity to vote for governor and the other State Constitutional officers, as well as our State Senators and Assembly members, our real chance to make a difference is going to be at the local level. With a little help, we can feel a little less “Naked and Afraid.” So, let’s look first at our County Supervisor Races, a.k.a. “Keeping Up with the Kardashians.”

partisan divide among the board members. Normally, in an election like this — with three seats up for election — changing the partisan divide can be a strong driver for a number of organizations. However, only one of these races is contested. Do you have any thoughts on who supports the multifamily Industry best?

Incumbents Karen Spiegel (District Two), and former Assemblymember and appointed Supervisor Manuel “Manny” Perez (District Four) drew no opponents for this year’s election, so…congratulations supervisors! Both will return for their second terms on the board.

After considering a number of redistricting proposals, the Orange County Board of Supervisors settled on one that basically jumbles everything up. We will have a newly drawn second district that opens up a race with many candidates from around the county seat of Santa Ana. The fourth district in the north of Orange County brings into further alignment several major cities — Fullerton, Buena Park, and Brea. Down south, however, the fifth district pits several major community leaders against one another, which will make the June election very interesting.

District Five — “Summer House”

District Two — “Making the Cut”

This election will get interesting, and will most likely jump over from the summer to a runoff in the fall. Supervisor Jeff Hewitt is also running for re-election. However, in the Fifth District, he will have three challengers, including Riverside Mayor Yxstian Gutierrez and Beaumont Mayor Lloyd White. They are joined by Democratic candidate and attorney Deni Mazingo, out of Hemet, who previously ran in 2018 and 2020 for the 42nd Assembly District. With so many seasoned candidates in this race, the Primary Election in June will almost certainly lead to a runoff in November. If no candidate is able to secure 50% + 1 of the vote, the top two vote getters will face off in the

In what will likely be one of the most challenging elections this June, a crowded field of five candidates are running to represent Orange County’s Second Supervisorial District. Orange City Councilmember Jon Dumitru, a longtime supporter of small business, property rights, and the rental-housing industry has already received the support of AAOC’s Political Action Committee. Meanwhile, Santa Ana Mayor Vicente Sarmiento, one of the city’s rent control and just cause eviction architects, is also running for the seat along with former Santa Ana city councilmembers Cecilia Iglesias and Juan Villegas. Rounding out the field is Garden Grove City Watch — continued on page 12

District Four — “Iron Chef”

Councilmember Kim Nguyen, who is also are seeking to represent the district which extends into Garden Grove, Tustin, Orange and Anaheim. This race will undoubtedly end up as a run-off election as it is unlikely that any one candidate will receive a majority of the vote in June. The political calculus comes in as to who can make the runoff. Looking at the traditional electorate break down, the vote is going to be split up any number of ways between party, city, demographic, and support bases — none of which line up with any one particular bend — except one. The public safety unions, development and business communities, and housing industry are rallying against Mayor Sarmiento. Some would say that makes Mayor Sarmiento the likely top target, and it isn’t out of the realm of possibility that with Santa Ana being split among three candidates, his supporters won’t be enough to get him into the runoff.

Incumbent Supervisor Doug Chaffee is running for re-election, but he will face stiff competition from Buena Park Mayor Sunny Park and Brea City Councilmember Steven Vargas. The Democratic supervisor has a history of pro-housing votes, and Councilmember Vargas — the lone Republican in the race — has also been welcoming and supportive of the multifamily Industry for some time. Mayor Park, while more politically progressive, has also been open to working with the rental-housing industry.

District Five — “Cutthroat Kitchen”

If you’re looking for a battle among experienced and long-entrenched politicians, look no further than the race for the fifth supervisorial district. Supervisor Lisa Bartlett is termed out, and the fifth district has been redrawn to now include incumbent supervisor and former Costa Mesa Mayor Katrina Foley. A progressive political presence on the board and in Orange County payback during the Protected Time Period then wait until the protection period ends, then break the lease and find another dwelling unit to rent, thereby avoiding the minimum repayment being sent to collections for the accrued amount, and avoiding the negative credit report impact. My units have hardwood floors. What is the best way to clean them after a tenant moves out? Davis

Dear Davis:

As you might guess, water is the enemy of hardwood floors. Water can damage wood floors and may cause staining, cupping, expansion, and separation. Certain cleaning items to avoid are wet mops, ammonia, and floor cleaning products not meant for wood floors. It is important to determine which clear finish was used on your wood floors as a protective coating. For example, penetrating oils, lacquer, polyurethane, etc. Each finish will dictate a specific solvent or cleaning product. Most wood floors can be cleaned and maintained by first vacuuming dirt and debris from the floor and finishing with a soft natural brush or broom, remove dust and residual dirt. If the floor needs deeper cleaning, determine the finish used on

your floor and visit a wood floor dealer or home center that sells wood flooring. They will carry cleaning products for wood floors and can help you determine a proper cleaning procedure.

Dear Maintenance Men:

The angle stop valves under the kitchen sink are very hard to close. I attempted to replace the valves but could not remove the brass collar around the copper pipe. The new angle stop valves do not thread up and the old nut is trapped behind the collar. What can I do? Also, how often should I routinely replace my under-sink water flex lines? Fredric

Dear Fredric:

On the first question, it is always best to remove the old collar. That is easier said than done. You cannot pull off the collar with your fingers; it is too tight. Pliers will damage your soft copper pipe and cutting the line behind the

collar is OK if you have enough pipe to spare. But, in most cases, the space is limited and cutting the line won’t work. The hardware or plumbing store sells a compression sleeve puller ($20.00 or less) designed for this job and it will not damage your pipe. You can now install your new angle stop valve. An alternative once you remove the collar is to solder a male or female ½” fitting to the end of the copper pipe. Install a male or female angle stop valve and never again deal with a stubborn brass collar. If you ever need to replace the valve, just twist it off and install a new one. We also recommend that you install “quarter-turn ball valves” when replacing the old angle stop valves. The ball valves are less susceptible to sticking in the open position after many years of use. On your second question about replacing under sink water lines, if any of your lines are the white plastic lines, replace them immediately; they are a


flood waiting to happen. We like using the stainless-steel braided flex lines. They last a long time, and don’t seem as susceptible to fatigue or abuse. A way to spot a bad flex line before they leak or burst is to look for telltale signs of rust, calcium build-up, loose or broken braids, tight kinks, brown spots, or they just look bad. If you are replacing angle stop valves, install new water lines at the same time.

Dear Maintenance Men:

I just installed a new garbage disposal and now my dishwasher won’t drain. I hooked everything back up the same as before. What did I do wrong? Brian

plastic line. Undo the hose clamp at the disposal end of the line and temporally remove it. Now take a big, long, flat screwdriver and insert it into the garbage disposal nipple where you just removed the rubber drain line. The screwdriver will stop about two inches in and hit the drain knockout. Use a hammer and gently hit the screwdriver until the knockout breaks open. Remember to retrieve the knockout from inside the garbage disposal. Now, reassemble the dishwasher drain line to

the garbage disposal, tighten the hose clamp and run your dishwasher through one cycle. Check for leaks and proper operation of the dishwasher. Everything should work just fine. A Market Perspective for Evaluating Options

W

e have all watched or at least heard about the explosive housing market. Demand has far outstripped supply and prices have skyrocketed. Can the same be said for apartments? In Orange County, although the vacancy rate remains very low, rent control and other restrictions have limited how quickly rents have been able to increase. What has been the impact of AB 1482 and other ordinances on multi-family sales and prices? Last year, I wrote a “Mid-Year Market Check-In” article that ran in the July 2021 issue of Apartment News magazine. Using Multiple Listing Service (MLS) data, I took periodic snapshots of four-unit property sales in Orange County. This information provided some interesting insights as we started to return to a degree of normalcy. At that time, there was a sharp increase in listings as well as in cancelled and expired contracts. While demand remained steady, buyers were cautious about what they were willing to pay as evidenced by the fact that nearly 90 percent of the listings were being offered and sold for less than originally priced. That said, between the first and second quarters of 2021, prices were trending upwards. So, what has happened over the last nine months? As of March 31, 2022, there were only 24 active listings as compared to 35 on June 30 of the previous year. However, the six-month rolling average

for the number of properties sold remains the same, demonstrating that there is still a strong demand. Prices have also continued rising, but the pace has begun to lessen. Between the fourth quarter of 2021 and the first quarter of 2022, the average sales price increased by six percent, which is slightly slower than the seven percent increase noted for the first two quarters of 2021. The reality is that buyers are still cautious and now there is the double whammy of not only rent control restrictions, but also rising interest rates. Concern over inflation, which as of February 2022 was at an annualized rate of 7.9 percent, the highest since January of 1982, led the Federal Reserve Board to initiate a quarter of a percentage point rate hike in mid-March. With the unemployment rate near a record low and the surge in global commodity prices expected to persist, all the signals are set for continued hikes in May and June. Traditionally, real estate has been one of the best hedges against inflation and the demand for rental housing is not apt to disappear any time soon. But more and more buyers are no longer counting on just appreciation. They are looking at cash flow and want to know that the property they purchase can actually produce an income. Equally, if not more importantly, is the issue of deferred maintenance and/ or upcoming major expenses. These are important considerations that have an

impact on prices and sales. First and foremost are the costs involved. Lumber prices have tripled and nearly every construction-related item has seen a more than substantial increase. Not only do buyers have to factor in the actual costs; with rising interest rates, taking on added debt means even higher dollar expenditures. Adding to the challenges are limited supplies and delivery delays. Who would have ever imagined that they could not walk into a paint store and immediately get the exact color of paint desired? Further causing scheduling havoc are three-to-six-month delays in obtaining appliances, certain appliance parts, cabinetry and, even, some types of doors and windows. Finding reliable and qualified contractors creates another obstacle. The remodeling craze that began with the pandemic has yet to slow down and the demand for experienced workers far exceeds the available labor pool. No prospective income property purchaser wants to deal with added costs or with delays that mean extra days of apartments sitting vacant and not producing any income. As an owner, you need to think about all these considerations. Even if you are not planning to sell in the near future, ignoring those deferred maintenance items is only apt to make the situation worse when it finally has to be tackled. 1876, that was key to preserving the building as part of its adaptive resuse into the beautiful Vibiana dining and event facility. With most such projects, the need for seismic retrofits opened the opportunity to cost effectively reinvent the space inside the building shell: opening interior spaces, making the most use of natural lighting, enlarging bathroom, kitchen and closet spaces using sustainable and recycled materials, renewable energy, and energy- and water-efficient appliances. These measures result in spaces that better meet the market demands of today’s safety and environmentally conscious tenant population.

The ultimate ‘green’ building

Apartments built in the 1950s, ‘60s, and ‘70s tend to have an overall boxedin functionality. Kitchens are typically cramped and set apart from the main living area. Hallways are narrow, bathrooms compact, and natural light is limited. Opening these areas to create more expansive spaces by removing partitions and replacing “dead space” with functionality makes buildings more desirable. Renovations also help to retain much of the historical character of a community, which is another very important aspect of sustainability. An adaptive reuse project can harness all of these benefits and gain even more by incorporating sustainable materials into the renovation. Consider using iron, wood, recycled aluminum and plastic into the design of your new interior. These elements can create interesting accents that define living areas and reflect the simplicity and linear look of today’s design standards. Your building may also benefit from electrical and plumbing upgrades. If that’s the case, you can make the most of this situation by incorporating the latest in efficiency into your design. Renewable energy features can also be added as an attraction to the growing number of tenants for whom these systems are increasingly important. April General Membership Meeting Recap

T

he mood was warm, engaging, and upbeat, as more than 60 AAOC members gathered for the first in-person AAOC General Membership Meeting in 26 months, on Tuesday, April 12 at The Villa in Orange. It was a great opportunity for housing providers and industry vendors to reconnect and start getting back to doing business as usual. The topic for the meeting, “Moving On, Post Covid,” featured a dynamic panel comprised of longtime multi-family housing professionals Frank Alvarez (Buffalo Maintenance, Inc.), Jessie Childers (Santa Fe Management), and Amy Fylling (Advanced Management Company). Each panelist reflected upon the past two years and discussed how far they and their companies have come, from adapting various policies and practices at the start of the pandemic,

to now evaluating which of those policies and practices to keep and which to adjust or eliminate. Childers described how early in the pandemic she would collect rent checks from each of Santa Fe Management’s properties and place them in plastic baggies in her car trunk to avoid a potential spread of the virus. Once more knowledge was gleamed and more information-based safety protocols were implemented, Childers described how their policies evolved, and how her staff and residents “banded together” and were there for one another. She also mentioned how Zoom was a life saver for her and her team, how it became a great way for them to connect safely and more time efficiently, and that this is a practice that continues to this day and will likely continue for the foreseeable future. Fylling echoed many of the same

Biden Budget Proposal Calls for Harmful Multifamily Tax Pay-Fors Special from the National Apartment Association

resident Biden’s Fiscal Year 2023 budget proposal includes several provisions key to the rental housing industry. On March 29, President Biden released his Fiscal Year 2023 budget proposal, which includes . This year’s proposal includes several provisions key to the apartment industry—including a 19% HUD budget increase and provisions that would once again target ordinary income tax rates, capital gains tax rates, the taxation of unrealized capital gains at death, like-kind exchanges and carried interest.

The proposal is largely viewed as a messaging document that is intended to layout the Administration’s agenda for the year ahead—whether or not included provisions are eventually enacted remains to be seen. However, NAA and NMHC remain highly engaged to deter policymakers from implementing policies that threaten the stability of our industry and hinder much-needed development.

What This Proposal Means for the Industry

The HUD budget includes $35 billion for the Housing Supply Fund to provide affordable housing grants to state housing finance agencies.

NAA and NMHC appreciate the Administration’s focus on additional HUD funding that would support shared housing affordability goals. However,we remain concerned about the harmful impacts of the proposed tax provisions. Congress rightly did not enact these tax proposals last year when they were considered as part of the infrastructure package, and doing so now would only reduce funds available

Capital Gains Tax Rates and Taxation of Unrealized Gains at Death The budget proposes to tax capital gains at ordinary income tax rates for taxpayers earning over $1 million. This would mean that today’s 20% top statutory rate would rise to 39.6% for impacted taxpayers not including the application of the 3.8% net investment income tax. In addition, the proposal would impose a tax on unrealized capital gains at death. Taxpayers would be allowed to exclude $5 million in assets ($10 million per couple) in addition to $250,000 (single taxpayers) / $500,000 (married taxpayers) of the value of a principal residence. Carried Interest

The budget proposes to tax carried interest at ordinary income tax rates as opposed to capital gains tax rates if a taxpayer’s income exceeds $400,000.

Minimum Tax on Certain Taxpayers

The budget would impose a 20% tax on total income, including unrealized capital gains, for taxpayers with net assets exceeding $100 million. Key features of the proposal would: • Enable taxpayers to pay their firstyear liability in nine annual installments. Liabilities in subsequent years could be paid in five annual installments. Illiquid taxpayers (i.e., taxpayers with tradeable assets that comprise less than 20% of wealth) could elect to defer tax on unrealized

• Payments would be creditable against the taxation of realized capital gains. • Refunds would be available in the case that prepayments of the tax exceed the long-term capital gains rate times the taxpayer’s unrealized gains. • Taxpayers with wealth exceeding $100 million would have to make annual disclosures to the Internal Revenue Service regarding their assets. Tradeable assets (e.g., publicly traded stock) would be valued end of year. Non-tradeable assets would be “valued using the greater of the original or adjusted cost basis, the last valuation event from investment, borrowing, or financial statements, or other methods approved by the Secretary.” Taxpayers would not have to obtain a valuation each year and “would instead increase by a conservative floating annual

return (the five-year Treasury rate plus two percentage points) in between valuations.”

Like-Kind Exchanges

The budget proposes to limit the deferral of taxable gain from a like-kind exchange to $500,000 for single taxpayers and $1 million for married taxpayers.

Depreciation Recapture

The budget proposes to impose ordinary income taxes on recaptured depreciation (as opposed to the currentlaw 25% rate) for the recapture of depreciation deductions taken in taxable years beginning after December 31, 2022. The proposal would apply to taxpayers with incomes of $400,000 or more.

Basis Shifting by Related Parties Through Partnerships
