The Power of Your Actions and Voice

Iam thrilled to inform you that this past month was both active and successful for AAOC’s legislative advocacy efforts—both locally and in the State Capital.

Many thanks to those of you who were instrumental in successfully advocating for reasonable solutions in Buena Park when it appeared the city council was poised to support unnecessarily aggressive and far-reaching regulations. And thanks also to those of you who have been an active part of our efforts in Sacramento making phone calls and sending emails to inform and educate our elected officials of their constituents’ opinions and concerns.

For those of you who showed up at the Buena Park City Council meeting on April 25th, your presence—many of you clad in shirts reading, “Solutions Not Intrusions”—and your public comments were a perfect demonstration in putting truth to power. Your efforts led to a complete turnaround by the city council,

resulting in a 4–1 vote that avoided a citywide expansion of what has been a targeted rental-housing inspection program for more than 20 years. While the council did approve a very limited expansion in terms of the number of units that would be subject to inspection—primarily within the existing program areas—the frequency of these inspections is reasonable, the policy provides sufficient exemptions for properties, and the city council signaled a preference for education over harsh regulation of our rental housing industry.

Shifting to our state advocacy efforts in Sacramento, I want to take a moment to specifically recognize the extraordinary efforts of Amy Fylling (Advanced Management Company) during our recent Lobby Day in Sacramento. Amy is not only an active member of the AAOC Board of Directors and the Legislative Committee, but she also plays a crucial role as member of the California Rental Housing Association (CalRHA) legislative committee. This was her first trip to Sacramento as part of AAOC’s advocacy team and, to say the least, she quickly found her footing and was an extremely effective voice on behalf of our association and industry. She truly went above and beyond as a member of our delegation. I can tell you my own first trip—approximately 15 years ago— was quite different. I was fortunate enough to have been taken under the proverbial wing of one of the legends in our industry, Ray Maggi, who thoughtfully

and patiently mentored and educated me before, during, and after that trip— and boy did I need it.

I also want to recognize our lobbyist, Ron Kingston (California Strategic Advisors) for his efforts on our behalf. He was commended by both legislators and their staff for his informative and impactful leave behind pieces and for the perspective and policy knowledge he had to offer during our meetings. And last, but certainly not least, congratulations are in order for Ron’s associate, Rae Beam, who recently passed one of the toughest Bar Examinations in the country.

What a month indeed!

Finally, I must close this message on a sad note. For those of you who may not have already heard, the AAOC family recently lost one of the most dedicated, caring, and supportive individuals and leaders of our association. AAOC Director Emeritus William “Bill” Gorman passed away last month at the age of 83. This issue of Apartment News is hereby dedicated to his memory and we pay tribute to Bill in the pages that follow for his exemplary service and commitment to AAOC and our rental-housing industry. Rest in Peace, friend.

Expanded Reporting Requirements Would Come with Hefty Price Tags

Many of us would view the following as not just good news but great news. Let’s look at what was recently halted in the California Legislature.

One of the bills in the legislature that was stopped would have mandated residential property owners to report notices of every rent increase and eviction to a new state agency. That agency would have been tasked with making that information a publicly searchable database.

The bill that was introduced to try to accomplish this was SB 395 (Wahab), D-Hayward. The bill was aimed at establishing new administrative responsibilities on property owners. The legislation would have required rental housing providers to file any notice of termination of tenancy or rent increase with the Secretary of State’s office within 10 days of notifying the tenant. Non-compliance also could have provided tenants with a new potential defense in an eviction lawsuit.

The bill posed incredible issues over invasion of privacy and redundancy of the proposed database. The cost of administering the program could have been astronomical. Similar legislation carried by Assembly Member Wicks in 2019, 2020, and 2021 came with a price tag of over $20 million to establish and more than $8 million per year to maintain.

Another bill proposed to regulate the use of artificial intelligence-based decision making tools including tools we use in rental housing.

The bill which was popularly known as the Automated Decision Systems Accountability Act, was authored by Assembly Member Rebecca BauerKahan, D- Orinda. AB 331 sought to require any business, including the residential rental housing business, to conduct annual impact assessments of any AI-based decision tools used and to submit detailed reports to the California Civil Rights Department (CRD)—formally known as the California Department of Fair

Employment and Housing.

AI tools were targeted in the legislation. The principal concern was obvious—the author believed that rental history, employment, and income are used to predict a household’s ability to pay (including rent) and assess potential risk. The bill would have also allowed tenants to opt out of decisions made solely by AI if it was technically feasible, which in our opinion would have been impossible to achieve.

In other words, the bill would have prohibited “algorithmic discrimination” which in the eyes of the proponents contributes to the unjustified differential treatment or outcomes that may have a significant effect on a person’s life. We would have been required to report to the state as if we were the developer of the AI decision tool. The report would have required us to state the intended uses of the tool and document the tool’s limitations including

reasonably foreseeable risks of algorithmic discrimination from its use, and date used to train “or program the tools and how the tool was evaluated for validity and explain ability.”

The California Civil Rights Department would not only be charged with obtaining the information, but it would also have been allowed to impose an administrative fine of not more than $10,000 per violation. And if that was not bad enough, the bill stated that each day an automated decision tool is used for which an impact assessment has not been submitted to the state, the state would be allowed to identify each day as a distinct violation.

If you were wondering about the cost to the state, we have the answer. It would have been significant. In order for the state to accept impact assessments submitted by developers and deployers of the decision tool, and establish processes though which it

assesses and collects fines, the state estimated that the costs to be in the range of $17 million to $20 million annually. We believe that number to be remarkably low. This does not include the cost pressures on the trial courts in increased workload given that this bill creates a new crime. A defendant charged with a misdemeanor is entitled to a no-cost legal representation and a jury trial. In addition, the costs for increased incarceration could have been significant.

The bill had a remarkable impact on every business that uses evaluative decision-making tools, including: employment, housing, utilities, health care, insurance, legal services, voting, and financial services.

Saving the best for the last, there is SB 466 (Wahab). The bill would have given local jurisdictions the option of limiting the amount that residential landlords can raise the rent each year for housing that is more than 28 years old. This measure, like the others, was

strongly opposed by AAOC. Unlike the other bills in this column, the bill died on the Senate Floor instead of in a committee of the Legislature.

To say this bill became one of the more complicated measures in the Legislature this year is an understatement. The author decided to gut the bill and change the entire measure on the fly in committee. The amendments were not written or analyzed. The amendments were not available for weeks following the hearing. This made it very difficult to oppose a bill that ultimately went after rental housing, that for decades was exempt from state and local rent control laws.

Thankfully the bill died, and we were extremely relieved that the measure fell apart in the end.

AAOC’s Voter Registration Initiative: Why It Matters to the Multifamily Industry

Since the start of 2023 AAOC has been reaching out membership wide and requesting that you communicate with your residents about voter registration. Our ask has been quite simple and consistent:

• Provide new residents with information about updating their voter registration.

• Encourage existing residents to make sure their voter registration is current.

• Remind residents who are moving out to make sure the change their registration to their new address.

This is a major initiative for AAOC moving forward. Having current, upto-date voter rolls is essential to a representative democracy, which is the core of our reasoning behind this effort, but there are many other considerations behind this effort. We want you to better understand the purpose and reasoning for this initiative so that you can be part of its implementation.

Changing Profile of California Voters

Some of you will remember the mantra that James Carville repeated throughout the Clinton Administration— “Demographics are Destiny.” The quote predates the Clinton Administration by over 150 years, originally quipped by French philosopher Auguste Comte. Despite its age, the quote has repeatedly proven to be an accurate predicter of election outcomes.

California’s demographics are changing dramatically, and not just from an ethnic, religious, or political standpoint. It’s also changing in the fact that California will soon be a majority renter state. As a result, our industry is faced with a compelling reason to change its approaches on how we advocate on policy and how and with whom we communicate. We are missing an opportunity to communicate with renters on policies that regulate the multifamily industry, which also affect them and are not truly in their best interests to support.

However, to be trusted and believed by renters, we need to begin with communication now that is not associated with a direct ask or connected to a pending election. We need to establish

relationships now so that we can earn their trust when it comes to policies moving forward.

Current Voter Rolls

If you ever look at voter rolls, many times they reflect very outdated information about addresses—with multiple people/families/surnames registered at the same (unit) address, including people who may or may not be current residents. If we want to have an accurate voter turnout, we need to ensure that the people who are registered to vote at a specific address are the current and actual residents.

This protects the voters’ ballot immensely. It ensures that the ballot they return is for the candidates and issues that affect them and the community where they currently reside. Voting while still registered at a previous address means their votes are being lost when it comes to ensuring that they benefit from accurate representation and their vote has an impact on the issues for which they have a community—or neighborhood-specific interest.

Along these same lines, when ballots are cast by prior residents of your rental property, they are having an influence on the outcome of elections (issues and candidates) that directly impact your property and the residents who currently reside there. Having ballots cast that affect your property by individuals who no longer live there disenfranchises voters who current reside in your rental community and diminishes the local understanding that goes into local elections.

Correcting Appearances

Elections are an imprecise science— with the ability for anomalies to exist in voting patterns. However, when these anomalies exist, they raise doubts and concerns about the integrity of the election. Those appearances tear away at our democracy, and we must ensure that we support a process seen as fair and free elections.

Following the 2022 elections, we examined several precincts and found several challenging anomalies. We found precincts where:

Questions & Answers

Prior to COVID, I always drafted and served my own notices. However, during the pandemic I couldn’t keep up with all of the notice requirements so I let the professionals handle it. Now that COVID is over, I’d like to save some money and go back to serving my own notices. I heard that calculating the three days in a notice has changed and I’m not sure I get it. Can you tell us what’s changed and how to calculate the expiration date when serving a three-day notice?

First, you should consider continuing your practice of allowing the professionals to draft and serve your notices. Of the notices I see drafted by clients, approximately 75–80% of them have some defect, even if only a minor one. The problem is, even a minor defect is fatal to an eviction, forcing you to start the process all over again. Simply stated, you are best served by allowing the professionals to draft your notices. With regard to the method for calculating the three days, changes have, in

fact, taken place. While you can serve a notice on any day of the week, (including weekends and holidays), how you calculate the three-day notice period has always been a bit confusing, and the changes that took place didn’t make it any easier. For example, regardless of the day on which the notice is served, “Day-1” of the 3-day notice period is generally the first day after the notice was served. However, in that majority of situations, weekends and holidays can’t be counted, so serving a 3-Day Pay or Quit notice on a Friday will result in “Day-1” being the following Monday. To add some complexity to the mix, if Monday happens to be a judicial holiday, then “Day-1” will roll over to Tuesday, giving the tenant 3 extra days before the clock starts ticking. Finally, the notice cannot expire on a weekend or holiday either. If the third day falls on a weekend or a holiday, the expiration date of the notice rolls over to the following business day. To summarize this, for most notices, you may

not count, nor may the notice expire on, weekends or holidays.

I own a small apartment building in an area that has gone downhill, to say the least. The “defund the police” movement has caused the crime rate to go up and the police no longer seem interested in doing anything about it. I have a tenant who just told me she will be vacating as soon as her son’s school lets out for the summer, so I will have a vacancy. I’ve heard I have to disclose various things to applicants, but I’m not sure whether the neighborhood crime rate is one of them. Not sure I want to lose an applicant by telling them about things that generally have nothing to do with my property. Am I obligated to bring it up?

In many areas throughout Southern California, crime is a fact of life. The best way to address questions about crime from prospective residents is to refer them to the local police department for statistics. Moreover, be very careful not to portray your building as a “security” building or advertise it in any way that may create a false sense of security or safety. Even then, you may still have a duty to disclose this fact to the prospective resident, even if not asked. For example, if your property has experienced a recent wave of criminal activity, (break-ins, assaults, etc.) or there is an increased risk of harm at your building in comparison to other buildings in the neighborhood, then you would, in fact, have an obligation to inform applicants who ask.

I have a tenant who has recently fallen behind in her rent. She asked me to come by last weekend to pick up a partial payment, but when I got there, a neighboring tenant told me the delinquent tenant used “Midnight Movers” to leave in the middle of the night. I reached out to her on her cell and, surprisingly, she took my call. She told me that she moved in with her mom and left the keys in the kitchen drawer. While I’m glad I don’t have to go through an eviction, there was nine months left on her lease and the newer buildings in the area seem to be attracting a lot more applicants than my small, older unit. Is there anything I can do to minimize my losses and recoup the rent I will lose while I’m trying to get it cleaned up and marketed?

Before you do anything else, secure the property and change the locks…before an “old boyfriend” she gave a copy of the key to finds out she moved and moves himself in!

ant is responsible for all of the rent owed under the remaining term of the lease, as well as any costs that you incur in preparing and re-letting the apartment including advertising fees, commissions, etc. In the event you rent it relatively quickly, but for less money than she was paying, she is responsible for the shortfall between the two rental amounts for the remainder of the lease term she had. Still, it is important to remember that you have a legal obligation to mitigate your damages, so you will want to get it cleaned up, (maybe upgraded a bit to complete with the neighboring buildings) and get it rerented as fast as you can. I encourage you to keep good records in connection with your efforts to re-let the property, just in case she later claims that you “failed to mitigate your losses”. Finally, remember that you will still need to do a security deposit accounting within 21 days of the date on which you retook possession, so document the condition of the unit with pictures in the event

there is any damage. You can use the deposit to cover any unpaid rent she left owing, as well as to pay for any damage, as well as the restore the unit to the condition it existed in when she moved in.

Like many other landlords, the torrential rains that took place a few months ago caused some water damage to a few of our tenants. Most of them were pretty cooperative when it came to working with us to dry their units and make the repairs, but one in particular has been acting like a pain the “you know what”. She made it next to impossible to get into her unit, then complained about the need for the workers to move her belongings to dry the place out. She claims the water caused damage to several of her “high end evening gowns” resulting in her throwing them away and purchasing new ones. I just received a letter from the tenant telling us that she

Can you tell me what would cause rusty colored stains down the inside of a toilet bowl? The rust stains are in all the places where the water rinses down. This toilet is over 20 years old but is otherwise in excellent working condition. The water in the tank and in the bowl is clear water. The toilet in the other bathroom does not have this problem. Anonymous

Dear Anonymous:

20 Plus Years! This toilet is crying to be replaced! Chances are a new toilet will also save you money with less wasted water. But, getting to your question, since you are not having this problem in the other toilet, this will rule out a high iron content in the water supply. The most likely culprit is bits of old chain at the bottom of the tank leaching rust into the tank water. Since this is an old toilet, the flush valve assembly may leak into the bowl. Combined with bits of rusty metal in the tank, the water

will leave a residue of rust on the porcelain. This would be a good time to remove the toilet tank and replace the flush valve at the bottom of the tank. While the tank is off, look for anything that would cause rust such as metal bits, old chains, etc., and thoroughly clean the tank. Reassemble the tank to the toilet using new bolts and rubber washers and a new spud gasket between the tank and bowl. To clean the rust stains from the bowl, you can use a pumice stone and bowl cleaner. If that does not work, soak the deposits with some clear vinegar and then use the pumice stone or green scrub pad.

Dear Maintenance Men:

After doing work on my apartment units, I am always left with extra parts that I have not used. What is the solution to all the extra parts collected over the years? I know the standard answer is to use the parts or take them back to the hardware store. It seems simple on paper but it has gotten out of control and I need help! John

Dear John:

It is easy to start a personal hardware store in your garage, we are sure you are not the only one with this problem. It starts small, with just a few light switch plates and a bag of wire nuts. If only you could find that receipt, you would take them back to the store right away—well, maybe tomorrow, after you finish the next job, or the next.

Please repeat after me: My name is

“insert name here” and I hoard parts. The first step is admitting you have a problem.

#1: The first thing to do is actively inventory the parts, separating them into trade groups such as electrical, plumbing, carpentry etc.

#2: Now, separate the returnable parts from the non-returnable parts. Typically, the returnable parts are still in their packaging with the bar code visible. Most big-name home centers will accept back their parts without a receipt if they are in good condition. They will likely give you store credit for the parts.

#3: With the store credit, buy some clear see-through plastic bins or containers. Clearly mark the containers by trade such as electrical, plumbing, etc. The see-though bins will help eliminate the problem of, “if I can’t see them, I need to buy more syndrome.”

#4: Keep the containers readily available. This is key to your success! If you are obsessive-compulsive at all, you can subdivide the categories even further. Create a bin for switch plates and receptacles, or separate your plumbing parts by copper or pvc, etc.

#5: Before your next job, review your purchase list against the parts in each bin. Since you most likely purchase similar items for most apartment maintenance jobs, you

can start to deplete your in-house stock by using parts in your current inventory.

#6: Make it a rule that the current job is not complete until you do your returns. With a fresh receipt in hand you will get cold hard cash for those returns! That is a lot more fun than searching your garage for parts.

Dear Maintenance Men: I am having a termite issue at my apartment building and I know I will need the services of a termite eradication company. I have been hearing a lot about “orange oil” or spot treatments as a treatment for termites. Is the spot treatment advertising hype or the real thing? Bill

Dear Bill:

We have been doing a little bit of research on orange oil. From the information we have gathered, it does kill termites and does it very well. However, it is a localized treatment and that may be its only drawback. With any localized treatment, the kill zone is limited to the area treated. Now, orange oil does wick and spread through the wood fibers in the localized area of treatment, but it will not spread throughout the structure. The primary method to ensure total eradication is to cover the building with a tent and pump in the treatment. The tenting procedure has some negative aspects. The service is expensive compared to localized treatments, and the secondary issue of relocating your tenants for up to three nights can be extremely expensive and disruptive. If you have a major problem with termites, tenting may be your best method, but for most termite issues a localized treatment is adequate.

The Apartment Association of Orange County lost a dear friend and a beloved member on May 9, 2023, when William R. (Bill) Gorman passed away at the age of 88, at his home in Brea, California.

Bill was a longtime AAOC member and leader whose loyalty and dedication to the association and his fellow members

was beyond compare. He became a member of the association in 1970 and joined the board of directors in 1980. He served as board president from 1988–1989, and upon his retirement from the board in 1991, Bill was ceremonially promoted to director emeritus

As a real estate broker and successful income property investor for more than a half century, Bill was a highly regarded and respected voice in the multifamily housing industry who brought industry-leading experience and credibility to every transaction in which he was involved. He was always willing to impart his knowledge, expertise, and perspective with his clients and with his fellow AAOC members who were looking to better understand the real estate market and how to position themselves and their families for long-term success.

Additionally, Bill frequently contributed to AAOC’s Apartment News Magazine, and authored the book, Cash in On the Myths of Real Estate, in 2016. He also taught real estate classes for the California Association of Realtors and Fullerton College.

The lasting contributions that Bill made to multiple generations of AAOC members and to the greater rentalhousing industry are innumerable and immeasurable. He enjoyed longstanding relationships with his clients and fellow members, advising, educating, and mentoring them, assisting with their real estate needs and transactions, sometimes even challenging the conventional wisdom about the real estate market and current trends to provide

alternatives for consideration.

AAOC was truly fortunate to have had Bill as a member, leader, supporter, advocate, and friend. He was kind, generous, honest, ethical, good humored, intelligent, thoughtful, and measured in all that he did. We will miss Bill’s physical presence, but he will always be part of the AAOC family. The board of directors and staff extend their deepest condolences to Bill’s family, his team at WR Gorman & Associates, and to all those whose lives he touched.

Remembering Bill Gorman. A Eulogy from a Friend

Last month we lost an icon in Orange County Investment Property, a longtime AAOC member, and my friend, Bill Gorman, of WR Gorman & Associates.

I met Bill over 40 years ago when I joined AAOC after the stressful purchase of my first Orange County income property. In our discussions, he was very supportive for me with his intellect, integrity, and humor. I think we bonded partly because we shared a like-minded engineering education. He

marketed the only Orange County properties we ever sold, and we partnered in Brea commercial properties— a diversification. Boy, was that a learning experience for both of us—a different animal. I was impressed how he relied on a loyal team of experts early in any deal—loan broker, escrow agent, and others. He also consulted with a prominent local real estate professor to select the preferred out-ofstate diversification area for a residential real estate investment. We partnered on

a few properties in Austin, Texas, where he diligently screened and selected the broker and local property manager, and always used his humor to break the ice.

In our travels to Texas, we wined and dined, and I learned he played softball so late in his life. And, of course, he had been a dancer for “Chip and Dales.” Then, there was his book, Cash In On The Myths of Real Estate, what I would call a book of real estate wisdom for new and experienced investors alike. I will continue to read it in his absence.

Recently, we spent many hours on the phone discussing an algorithm he developed for real estate decision making—likely a primitive form of Real Estate AI before its time. We also discussed the state of today’s market, estate planning, and politics—again, like minded—and how proud he was that son, Tim, followed in his footsteps and got into the business.

I will miss Bill dearly and I am sure he is up there in heaven, with a fist pump, exclaiming, “I Got Step Up in Basis!” Rest in peace, my friend.

Do the Santa Ana Mountains Mark a Deadly Earthquake Fault?

The Santa Ana Mountain range in Orange County is a beautiful regional treasure, providing a spectacular backdrop to life in our area.

Beginning at the Whittier Fault and stretching south to the Santa Margarita River, major summits reach skyward, the mightiest being Modjeska (5,496 feet) and Santiago (5,689 feet)—which form our beloved Saddleback landmark.

They’re a large part of our county’s culture and history. They stand more

majestic than the Santa Monica Mountains, the Verdugo Mountains, Puente Hills, Coyote Hills—all of which have active faults under them.

How did our Santa Ana ridgeline come to be? Did an earthquake fault cause them to rise long ago?

To answer that, let’s step back and take a look at the small but lovely San Joaquin Hills nearby.

A University of California, Irvine, researcher in the early 2000s set out to

study the source of that coastal ridge and presented evidence that it rose from the sea because of an undiscovered blind thrust fault capable of producing an earthquake up to magnitude 7.1.

Lisa Grant, an expert in paleoseismology, earthquake geology, neotectonics, environmental geology and public health, determined the San Joaquin Hills fault runs northwest to southeast

following the coastline near the 405 Freeway at the Santa Ana River, to the El Toro Y, and then along the 5 freeway to Dana Point—snaking its way under Newport Beach, Irvine, Aliso Viejo, Laguna Hills, Laguna Beach, and San Juan Capistrano.

Later, her research turned to the larger Santa Ana Mountains—believing those peaks, which the USGS says are

growing at a rate of 3/10 of a millimeter per year—are the result of a blind thrust fault.

To date, the existence of that fault has not yet been proven.

“We haven’t had that earthquake to tell us exactly where it is,” she said, in a UCI article on her research.

Another Puente Hills?

Don’t think the lack of proof means the fault isn’t there.

Seismologists have since discovered a hidden fault in Los Angeles more dreaded than the San Andreas.

A study by the University of Southern California says the Puente Hills Fault has the capacity to produce “the costliest disaster in U.S. history.” As many as 18,000 people would die, 735,000 would lose their homes, and up to 100,000 tons of debris would be generated. The total economic loss would be as high as $252 billion.

Puente Hills is a blind thrust fault, the same kind Grant said the undiscovered fault under the Santa Anas would be. She based those findings on the geology of the ridge. Blind thrust faults rupture with one side of the fault pushing up and over the bottom side.

It was this type of fault that set off the deadly Northridge quake of 1994.

Thrust earthquakes create an accumulated strain that bends the earth’s crust in spots, where the fault has locked up. Seismologists believe that these areas are most prone to future earthquakes.

Is Grant right? Is Orange County truly threatened by its own sleeping giant of a fault? Only time will tell.

Another Industry Win Against Rent Control

Montana has become the latest state to preempt rent control after Governor Schweitzer signed SB 105 into law on May 1, 2023. This legislation prohibits local governments from exercising “any power to control the amount of rent charged for private residential or commercial property.” This does not apply to “property in which the local government unit has a property interest or in which the local government unit has an interest through a housing authority.”

This act makes Montana the 33rd state to preempt a local jurisdiction’s rent control authority and comes on the heels of similar prohibitions in Florida on March 29, 2023, and Ohio on June 1, 2022. These laws are a positive development for the rental housing industry being squeezed by restrictive government regulations, rising insurance costs

and continued market disruptions over the past few years.

However, the trend is reversed in other states; within the past few years, California, Maine, Maryland, Minnesota, New Jersey and New York have all seen local jurisdictions enact rent regulations or further limit a property owner’s ability to set their own rates. Countless other jurisdictions have seen such proposals at the state and local levels. The National Apartment Association (NAA) is currently tracking 83 state bills that would regulate rents and 523 social media posts from policymakers in the over the past 3 months.

Colorado Senate Passes ‘Affordable Housing Right of First Refusal’

In the final day of Colorado’s 2023 legislative session, the state Senate passed HB23-1190 , Affordable Housing Right of First Refusal, which was previously passed by the Colorado House in March. The final act was sent to Governor Polis for further action on May 17.

HB23-1190 provides local governments or their assignees (the state, any political subdivision or housing authority in the state, or the Colorado housing and finance authority) with a right of first refusal to purchase qualifying rental property before it can be sold in the private market. The government has three months to exercise this right and must present an “economically substantially identical offer” to an offer that the seller receives. The government’s right to purchase is contingent on preserving or converting the property to long-term affordable housing.

If it becomes law, HB23-1190 will be the first state to establish an affordable right of first refusal for rental properties. Like other failed housing policies like DC’s Tenant Opportunity to Purchase Act (TOPA), Colorado’s right of first refusal legislation will not create any new affordable units or relieve the pressure of limited housing supply. Instead, it will stymie real estate transactions and discourage investment in new multifamily housing in the state of Colorado.

The Colorado Apartment Association (CAA) worked tirelessly to voice the rental housing industry’s perspective in this session and inform policymakers about the pitfalls of this bill. Drew Hamrick, General Counsel and Senior Vice President of Government Affairs at CAA and the Apartment Association of Metro Denver, gave additional insight into

this adverse legislation: “Our success in defeating other adverse legislation ultimately consumed too much political capital. There were 81 amendments aimed at many of the issues in this bill causing moderate Democrats to drop their opposition. These negotiated changes did not address the fundamental problem of taking a valuable property right from Colorado citizens.”

Now that the bill has been sent to the Governor, he may sign the bill into law, veto the bill or let the bill become law without his signature. The bill could become law without the governor’s signature after 30 days if he receives it after the General Assembly’s session.

So, You Thought the Market Would Crash!

How many headlines have you read over the years predicting a market crash by 2019, 2020, 2021, 2022, 2023? How’s that strategy working out? Many buyers are waiting for the housing market to crash, and economic cycles tell us that markets do tend to go up and down, although the average is an upwards trajectory.

Due to a combination of many factors including historically low interest rates from 2020–2022, supply chain issues, new construction costs rising, and the fed pumping $1.4T into the economy, we are no longer in a ‘normal’ market where we could expect at least a minor market correction.

The housing market has been rising steadily for a very long time, and prices have skyrocketed for the past three years! With prices going up so fast, it seems like there’s an artificial bubble that’s going to burst any day now but fueled by inflation and the housing supply issues noted above, a drop in prices is not likely to happen anytime soon.

Inventory is at historic lows, equity levels are at historic highs due to the proliferation of sub-3% mortgages, and population growth has exceeded housing construction. Across the U.S. there is a shortage of inventory, and in Southern California it is projected that there will be 114,500 missing for sale signs in 2023.

This year, we started with exceptionally low inventory, and in Orange County it dropped from 2,500 homes on the market at the beginning of the year to 2,050 today, plunging by 19%.

Compare that to the 3-year average prior to COVID when there were 5,800 properties on the market, an unbelievable 182% higher than today. This is especially concerning because typically inventory steadily rises starting in January and peaks during the spring selling season. Instead, inventory started historically low and continues to trend downwards.

While supply is dropping, the opposite is happening with demand. Buyer demand has been steadily increasing, driving the latest flurry of bidding wars and multiple offer situations. Again, homes are selling for above asking, and this is happening throughout the country. The housing shortage is also creating greater demand for rental housing which in turn is driving rental prices higher.

With residential and multifamily property prices high, investors would love to cash out and enjoy the fruits of their hard work and long-term investments. This would help at least partially offset the shortage of supply for would-be homeowners. One of the main reasons investors are NOT putting their properties up for sale is because they don’t want to pay capital gains tax—and they also don’t want to do a 1031 Exchange into another property because prices are high, interest rates are high, and there’s not a lot of inventory to choose from.

Instead, the savvy investor who wants to cash out can chose to defer taxes through an installment sale, a charitable remainder trust, or a thirdparty trust through a certified real

estate tax attorney.

The third-party trust is a great solution for those who want to cash out from real estate and earn interest on the full proceeds from the sale while deferring taxes. It also allows you to save or spend as much as you want, based on your desired lifestyle aspirations. And if you want to do a 1031 Exchange, but you want to wait until the right deal emerges and you do not want to be constrained by the 45-day time limit, you can use it to sell high and have your money parked in an interest earning or appreciating account while you wait for the right opportunity to buy.

Home buyers and real estate investors are waiting for prices AND interest rates to drop, but at the moment there is no indication that both of those things will happen at the same time. Instead, the opposite seems to be happening. When interest rates drop, we are seeing a large influx of buyers entering the market which is driving prices even higher. These are unprecedented times in the housing market and the only thing I know for sure is that due to historically low inventory, it’s a seller’s market right now.
