RESERVATION AGREEMENT FOR A UNIT AT 20 THAMES STREET CONDOMINIUM PORTLAND, MAINE Declarant: EssexNorth 20 Thames LLC 462 Boston Street, Ste. 2-2, Topsfield, MA 01983 Name of Depositor(s): ________________________________________________________________ Depositor’s Mailing Address: __________________________________________________________ Depositor’s Telephone: (day) ___________________________ (night) _________________________ Depositor’s E-mail Address: ____________________________________________________________ Unit No. ______ (the “Unit”).

Deposit: $_____________ (the “deposit”).

Depositor has deposited with Declarant the deposit as a fully-refundable reservation deposit for the Unit at 20 Thames Street Condominium, a condominium to be created by Declarant at or near 20 Thames Street, Portland, Maine. It is hereby agreed that by virtue of this deposit, the Depositor shall have the right of first offer on said Unit and may exercise said right by executing a written contract for the purchase of the Unit with Declarant within ten (10) business days of presentation of such contract to Depositor by Declarant. At the time of execution of a written purchase contract by both Declarant and Depositor, all obligations of the Depositor and Declarant to one another under this Reservation Agreement shall be superseded by the terms of the purchase contract. Failure of the Depositor to execute a purchase contract, within 10 business days as called for above, shall cause this Reservation Agreement to become null and void and shall relieve Declarant of any further obligation to the Depositor beyond return of the deposit. If the Depositor, for any reason whatsoever at any time, should desire the return of the deposit, the Depositor shall notify Declarant by certified mail, return receipt requested at the address above and Declarant shall return the deposit, without interest, to the Depositor, within ten (10) calendar days of receipt of such request, at the address given above or at such other address as specified in the request for return of the deposit. The return of the deposit to Depositor at any time by Declarant, whether or not at Depositor’s request, shall relieve both the Depositor and Declarant of any and all further obligations to one another under this Reservation Agreement. It is agreed that the price of the Unit shall be the price stated in any mutually-acceptable purchase contract executed by Depositor and Declarant, and that no other price, whether oral or written and whether express or implied, shall be valid. This Reservation Agreement shall supersede and replace all prior discussions, agreements or arrangements between the parties regarding the purchase of the Unit or any other interest in real estate. Notwithstanding anything to the contrary herein, this Reservation Agreement does not constitute an offer by Declarant to sell the Unit or any other interest in real estate, nor does its execution by Depositor create a contractual obligation to buy the Unit or any other interest in real estate. As noted above, both Depositor and Declarant may terminate this Reservation Agreement for any reason at any time prior to the execution by Depositor and Declarant of a mutually-acceptable purchase contract.
