Facing and Embracing Change Together By Kimberly Scott, CAE, WSCPA President & CEO

T

oday I officially moved into my new office; it is the start of a new journey. During the last 16 plus years I have worked in a few cubicles and a couple of offices in this building, yet this office feels very different—it is very different. The change in my office view, and the change in my role, prompted me to think about changes to the profession and organization since I have been with the WSCPA. First, let me say that I am excited about new and different opportunities, and the change they bring. I mentioned to the Past Chairs at their annual dinner a few weeks ago that things were changing in the association world and in the CPA profession. A wise past chair eloquently stated that he was chair 40 some years ago and change was what they worried about too. In fact change has been a constant as long as he has been a member. The number of changes which affected the CPA profession in Washington State during the past 16 years seem to prove he is correct.

Changes Affecting the CPA Profession Since 2000 CPE Shortly before I joined the organization, the CPE requirement had just been modified. Some of you may recall that, prior to this change, CPAs were required toxcompletex32xA&Axcreditxhours every license renewal cycle, regardless of whether they were engaged in audit or attest work. Soon after I joined, the reporting cycle was modified from every two years to a three-year cycle. The number of required credit hours stayed the same—40 hours per year is the average—but the type of credit hours became more focused on what you might actually need to advance in your position. They also added the four-hour ethics requirement.

License or Certificate Washington State used to be what we called a two-tier state as well. You could be either a licensed CPA or a certificate holder. To be licensed it was very similar to what it is now, except you needed to have work experience in a public accounting firm. The certificate meant you had the education, passed the rigorous CPA exam, but were missing the required work experience in a public accounting firm.

I see much more on the horizon in this changing world and we will continue to evolve. With impressive volunteers and staff, the WSCPA will create new programs and experiences. Of course, change can often translate to fear and new opportunities may mean old ones disappear.

CPA Exam That rigorous exam has gone through many changes as well. By the way, the exam is celebrating its 100th birthday this year! Do you remember when you could only sit for the exam two times a year, May and November? Or when you had to take all four parts in one sitting, and it was paper and pencil only—no computers. It may surprise you to know that the exam moved to a computerized exam a little over a decade ago. In April more changes to the exam were rolled out and additional changes are expected every

couple of years in order to keep up with the changes in regulation and technology. Technology I cannot even begin to discuss every technological change. I clearly remember buying my first home computer. It took up a ton of space, cost as much as car, and nowadays a handheld child’s toy has more memory capacity. I even recall when the Internet became available for home use, for once I was an early adopter. Of course back then it was only really used for chat rooms. There were no news feeds, shopping, Facebook, Instagram, Twitter or the latest platforms which are trending today.

What This Means for the WSCPA How do I interpret all of this change? There are opportunities and possibilities that exist for our organization.We should expect that what lies ahead will not be easy to maneuver. The WSCPA has changed significantly during my tenure as well, especially in the areas of communications and continuing education. Sixteen years ago, when we held live CPE courses, they were full. Now we offer more webcasts than we do live courses. The convenience of taking education courses from our desks or in our homes has changed how members interact with the Society. There is fierce competition in the market for CPE and so we will continue to see changes in this area. Finding the best way to communicate with members (or for you to communicate with your clients) is constantly changing as well. With new technology comes new expectations. The WSCPA used to rely on printed marketing pieces, now we communicate via print, email, and the major social media platforms. Now, we can hear from members in many different ways, any time of the day, any day of the week and we need to respond, in www.wscpa.org

accordance with member expectations for each communication platform. The WSCPA has invested in connecting with students and young professionals, trying to clearly understand what they expect to need from a professional organization. We have created new types of networking events, increased scholarships, and created structure in our leadership opportunities. We have launched two new websites and many upgrades, and two databases— which is a monumental challenge for any organization. I expect the rate of change in this area will increase as well. However, it is desperately necessary. Sixteen years ago, you could not easily and securely pay

for training or membership online—it was all by phone or mail. I see much more on the horizon in this changing world and we will continue to evolve. With impressive volunteers and staff,xthe WSCPA will create new programs and experiences. Of course, change can often translate to fear and new opportunities may mean old ones disappear. Let’s face this change remembering that we—WSCPA members, leadership and staff, as well as the entire profession, and all the organizations that support it—are in this together. I look toward the future and anticipate it will be full of opportunities to bring growth and excitement. We may not know what the

A

s I begin my year as Board Chair of your Washington Society of Certified Public Accountants (WSCPA), I want to share with you my reasons for being an active member for over 30 years. I first joined the society right out of college, which was typical of anyone who had earned a degree in accounting back then. My initial involvement was limited until June of 1998, when I moved my family from Seattle to Bellingham to start my career as a financial advisor. Living in a new community where I only knew a handful of people, I realized that I had to get involved and I needed to do it quickly.xThe first group that I joined, which turned out to be the best from a business contacts standpoint, was the Northwest Chapter (now Bellingham Area Chapter) of the WSCPA. Susie Thomson, CPA, was chapter president at the time and she did an outstanding job of motivating people and increasing membership participation. The chapter networking opportunities were far superior to any other group that I participated in and produced not only many quality business relationships, but great lifetime friendships which I value to this day. Thanks in part to the support and encouragement from the CPAs at my local chapter, I was able to build a solid and successful business. If you haven’t taken advantage of WSCPA networking events, you may be missing out on some tremendous career opportunities. In my role as a Director on the Society’s Board, I have witnessed many great accomplishments over the last four years. But we have a lot more to do. With our new President & CEO Kimberly Scott at the helm, the Society is in extremely capable hands to go the distance. She has the tools, knowledge-base, experience, and vision to make the Society stronger and more vibrant in the years to come. I am excited to kick off the 2017-2018 fiscal year with strategic planning. Along

Recently, I gained insight into the issues facing today’s public accounting practitioners when I met with six local Bellingham CPAs (three CEOs from the area’s largest firms, two sole proprietors, and one senior tax manager). We discussed topics ranging from their current challenges to how things will look five years from now. Since I left public accounting many years ago, I was also curious and learned about the products/services they were currently receiving from the Society and how they could be better served going forward. The meetings went very well and I was surprised at how grateful my colleagues were for the opportunity to share their thoughts. Joining and getting involved with the WSCPA was the best decision I ever made to take my career to the next level. If you haven’t been involved in a while, what are you waiting for? Jump in, get fired up, and see what it does for your career.You will be glad you did.

WSCPA Board Expands Affiliate Membership Class Non-CPA Accounting and Financial Professionals Now Eligible for Membership At its May 18th meeting, the WSCPA Board of Directors approved modifications to the Society’s Affiliate Membership Policy. Effective May 18, 2017, affiliate membership eligibility has been expanded to include the following groups of individuals who do not hold a CPA certificate or license: • Employees of a certified public accounting firm • Accounting and financial professionals who work in industry, government or non-profit organizations and are sponsored for affiliate membership by a WSCPA regular CPA member When applying for membership, accounting and financial professionals working in industry, government or non-profit organizations must submit the name of their sponsoring WSCPA regular CPA member. As a condition of membership, all affiliate members must agree to abide by the AICPA Code of Conduct. Tax Committee Want a way to connect and learn from other tax practitioners? Important Recent Tax Developments: Self-Employment Taxes and LLC Members By Gregory L. White, CPA

nder a direct ownership structure, The Tax Court has issued two recent cases involving the imposition of self-employment taxes on LLC and PLLC members: Stephen P. Hardy v. Commissioner1 and Vincent Castigliola v. Commissioner2. These cases shed additional light on this evolving area and also suggest planning opportunities.

New Cases

Stephen Hardy is a plastic surgeon who works in Missoula, Montana. In addition to his professional practice, Dr. Hardy owns a 12.5% interest in a surgical center where he performs some of his surgeries. His case involved application of self-employment tax to the earnings from the surgical center. Dr. Hardy had very little involvement in the surgical center, other than performing periodic surgeries at the center (through his separate company—he didn’t contract with the surgical center, nor were his surgeries performed on its behalf). His direct involvement was limited quarterly meetings with the other owners. He had never managed the center, and had no day-to-day management responsibilities or input on management decisions. The case doesn’t address whether the surgical center LLC was member-managed (i.e., all members have the power to act on behalf of the LLC) or manager-managed (the power to act is vested in specific persons). Vincent Castigliola is an attorney who practices in Pascagoula, Mississippi. He is a member of a law firm that operates as a PLLC. The PLLC is member-managed; all members have the power to act on behalf of the PLLC. He provides all of his legal services through the PLLC and the revenues of the law firm are derived from legal services. He also actively participates in the control of the PLLC.

… there’s substantial authority for LLC members in member-managed LLCs to avoid self-employment tax if they have minimal involvement in the operation of the LLC. However, cautious practitioners may wish to convert LLCs from member-managed to manager-managed—and make sure that the investors in the LLC are not managers. This is undoubtedly a safer approach. Outcomes

Dr. Hardy’s distributive share of income (Form K-1, Line 1) wasn’t subject to self-employment tax. In making its determination, the Tax Court cited its prior decision in Renkemeyer v. Commissioner3. The Renkemeyer decision was based upon the legislative history under §1402(a)(13) (which provides that Congress’ intention was not to impose self-employment tax on limited partners where the earnings are basically investment in nature). Vincent Castigliola’s distributive share of income from the law firm PLLC was held to be subject to self-employment tax. Perhaps this is unsurprising, but the apparent basis for these holdings has caused concern.

The Issue: Power to Manage vs. Actual Amount of Services Provided

The Hardy case focused on the actual amount of services that Dr. Hardy provided. The case didn’t discuss whether he had the power to act on behalf of the LLC, i.e., whether it was member-managed, or if he was a manager. In contrast, in Castigliola, the Tax Court focused both on Vincent’s power to act (he was a member-manager) and also the amount of services he provided. This is troublesome, because the precise basis for the court’s holding isn’t apparent. Did the Tax Court imply that the mere power to act results in self-employment tax? This was the holding in an earlier district court case, Riether v. U.S4.

Are LLCs Different from PLLCs and LLPs?

The Hardy case makes an interesting distinction—it holds that an LLC is distinguishable from an LLP. This suggests that professional service entities will be treated differently from other types of entities. Taxpayers have lost both cases involving professional service entities (in one case, Renkemeyer, an LLP, in the other, Castigliola, a PLLC). Perhaps this is not surprising.

So, Which Is It? Does Possessing the Mere Power to Act Result in SelfEmployment Tax?

Renkemeyer noted that limited partners (who aren’t subject to self-employment tax) typically lack the “power to act.” However, the court based its decision on the actual amount of services provided by the member, not the mere power to act. Castigliola clouds the issue by discussing both the “power to act” and the amount of services provided. Hardy addressed only the amount of

services, not whether Dr. Hardy had the “power to act.” Riether, however, indicated that mere “power” to manage is sufficient to result in an LLC member’s treatment as a general partner, and thus subject to selfemployment tax.

Weighing the Authority

Riether, the worst case for taxpayers, is a district court case. Renkemeyer is a “regular” decision of the Tax Court, and as such has greater authority. Hardy and Castigliola are memorandum decisions, which hold considerably less authority. The Tax Court’s decisions are generally accorded greater weight than other court’s decisions, due to the Tax Court special expertise. Further, it is the most common jurisdiction for taxpayers. Therefore, the standard established in Renkemeyer remains the best guidance; the key to determining the application of self-employment tax is the amount of services actually provided, not the member’s “power to act.”

So What Should Tax Practitioners Do?

I believe that there’s substantial authority for LLC members in membermanaged LLCs to avoid self-employment tax if they have minimal involvement in the operation of the LLC. However, cautious practitioners may wish to convert LLCs from membermanaged to manager-managed—and make sure that the investors in the LLC are not managers. This is undoubtedly a safer approach. Thomas Neill has dedicated a significant portion of his professional career to serving the public and the accounting profession. “Tom has held 47 different roles or positions on committees, task forces and boards since joining the WSCPA in 1983, when he earned his CPA certificate,” said Kimberly Scott, WSCPA President & CEO. “He started serving on the Uniform Accountancy Act committee for the WSCPA in 1998. Today he is still serving on the UAA committee, but now at a national level for the AICPA. He has also served as a member of the AICPA’s Professional Ethics Executive Committee,” said Kimberly. Founding and managing partner of Finney Neill & Company, Tom currently serves on the Washington State Board of Accountancy as chair and NASBA’s Ethics Committee. WSCPA board chair in 1999-2000, Tom is an ethics instructor for the WSCPA and a peer reviewer. “He is well respected at a state and national level. His volunteer work for the profession is outstanding,” said Kimberly. “He has a very collaborative style of leadership and is always a thoughtful leader and participant in all of his activities.”

Clark Nuber has been a consistent and significant supporter of the WSCPA for many years. “This is not the first time Clark Nuber has received this award. They received this award in 2000 as well. You are just as deserving today, if not more so, than you were back then,” said Kimberly Scott. “One hundred percent of eligible Clark Nuber employees are WSCPA members.They make becoming a member part of their staff on-boarding process.” In addition to supporting the WSCPA by sending staff to CPE events and conferences, scheduling In-house Training, and sponsoring events, Clark Nuber encourages staff to volunteer on committees and chapter boards or to serve as instructors for WSCPA seminars, conferences, and chapter events. “The volunteer hours and expertise are extremely valuable to the profession,” said Kimberly. It is hard to find a year that a Clark Nuber (current or former) employee is not selected to receive an award or recognition by the WSCPA for their contribution. They also support the Washington CPA Foundation by providing a named scholarship and scholarship review team volunteers.

A tax and business advisor working in public accounting for over 40 years, Ross McIvor merged his practice with Bauer Evans in 2011 and now helps manage their Bellevue office. “Ross McIvor is respected and wellliked in the Bellevue business community,” said Jim Ladd, CPA, WSCPA Past Chair. In 1988 Ross McIvor began providing pro-bono assistance to not-for-profit (NFP) organizations and started providing community leadership on various NFP boards. A participant, in 1995, of a civic leadership program, Advance Bellevue (now called Leadership Eastside), Ross has worked with Bellevue College Foundation, Bellevue Schools Foundation, Bellevue Rotary, Eastside Heritage Center, and Seafair along with numerous other community projects over the years.

A founding member of Evered & Associates, PLLC, Donna Evered has been active in the WSCPA for many years. She served as a board member, chair of the Taxation Committee, a Pension and 401(k) Trustee, and is a longstanding member of the Pacific Tax Institute (PTI) Planning Committee. “Donna is an extremely devoted volunteer,” said Hayden Williams, CPA, CGMA, WSCPA Chief Financial Officer. “Even when she personally has been unable to attend the PTI, she remains fully engaged and dedicated to helping plan a stellar event.” She serves on the Planned Giving Advisory Committee of the Fred Hutchinson Cancer Institute and has held leadership positions on the boards of the East King County Estate Planning Council and the Seattle Chapter of the American Society of Women Accountants.

“David has served as a Pension and 401(k) Trustee for over 14 years and has chaired the committee for over 10 years,” said Rich Jones, CPA, CGMA, Past President & CEO of the WSCPA. A shareholder in Clark Nuber’s audit and assurance practice, David said of his service to the WSCPA, “I’ve enjoyed the camaraderie and professionalism of other volunteers and WSCPA staff members … and sharing in a common focus of doing something for the organization that has done so much for our profession.” In more recent years, his volunteer activities have expanded to community service needs, including making breakfast twice a month for children at Jubilee Reach in Bellevue, providing breakfast for students at the Urban Impacts Summer Academic Camp in the Rainier Valley, and volunteering as a tutor one night a week for KidReach.

Jeffrey Mock, owner and managing director of CPA Consulting Inc. PS in Bellevue, joined the WSCPA in 1984 and has served on the WSCPA Board, the Advisory Council, and several WSCPA committees, serving as chair of the Peer Review System RAB and Peer Review Executive Committee for several years. “Active in the Peer Review Program since 1991, Jeff has been instrumental in guiding the program in Washington and in maintaining its position as one of the nation’s best. He has shared his deep understanding of the changing environment of Peer Review with the committees and led the changes necessary to meet these new conditions,” said Julie Phipps, WSCPA Manager of Practice Quality. Jeff has served on the AICPA’s Peer Review Board, and as a Peer Review technical reviewer for Hawaii for many years.

For the past decade Steven Colson has served the WSCPA as a property and casualty insurance broker. “He is extraordinarily conscientious about having us buy the right kind and amount of coverage. His service has been impeccable,” said Rich Jones. Vice President and Professional Liability Practice Leader for Hub International Northwest, Steven has also been active as a sponsor of the Not-For-Profit Conference for several years. Prior to joining HUB, he was a partner in the largest privately held insurance brokerage in Seattle. He has over 20 years of experience in designing customized insurance and risk management programs for CPA firms, law firms, and their larger clients.

After actively participating in the Yakima Area Chapter for many years, Sara Bailey moved to Tri-Cities. She graciously stepped into the role of the chair of the Tri-Cities Area Chapter during a time of significant change. “This could have been a difficult transition, but Sara has a talent for collaboration and helped bring the group together,” said Kimberly Scott. “Under her leadership, the chapter has created new events, found new venues, and attracted new attendees to their monthly events.” An active member of the CPA PAC, Sara is a tax manager for Moss Adams LLP and has practiced public accounting since 2011. Prior to her accounting career, Sara was a Blackhawk Mechanic Sergeant in the US Army.

Celebrating the Future of the Profession: The Washington CPA Foundation Awards $300,000 in Scholarships! By Jackie Davidson, CPA, CGMA

O

n May 18th, the Washington CPA Foundation honored Foundation Circle Contributors and the 60 accounting students that received scholarships for the 2017-18 school year at a reception held in the Roy J. Polley Memorial Classroom at the WSCPA office in Bellevue.The scholarship recipients, listed on pages 20-26, are a distinguished group with impressive academic records, work ethics, and desire to pursue the career opportunities afforded by an accounting degree and the CPA designation. They represent 12 colleges and universities across the state, and a cross-section of juniors, seniors, and master’s students, as well as one doctoral candidate. This annual scholarship program is made possible by the work of a cadre of 55 scholarship review volunteers, whom we appreciate immensely. The selection process was rigorous, involving three rounds of review, such that 6-8 different reviewers read and ranked each application initially, then ranked applications were further evaluated in a second round, and finally, scholarship recipients were determined during an in-person meeting. It’s rewarding to award scholarships to deserving students and to find inspiration in their hard work, achievements and personal stories. And of course, this work is well-orchestrated by staff of the WSCPA, both to promote the opportunity to scholarship candidates and to organize the applications in a streamlined online system. Of the 60 scholarships awarded, 45 were awarded under the Certified Public Accounting Scholarship Program, a program funded by the state and administered by the Foundation. The remaining 15 scholarships were made possible by named scholarship contributors, endowments, or directly from the Foundation. www.wscpa.org

New AICPA Cybersecurity Risk Management Reporting Framework Explained

What is a Cybersecurity Risk Management Program? A cybersecurity risk management program is a set of policies, processes, and controls designed to: • protect information and systems from security events that could compromise the achievement of cybersecurity objectives; • detect, respond to, mitigate, and recover from security events that are not prevented. While organizations use any number of methods, controls and frameworks to develop their cybersecurity risk management programs, until now, no common language existed for communicating and reporting on companies’ efforts. To address this, the AICPA’s Assurance Services Executive Committee (ASEC) and Auditing Standards Board (ASB) recently released a cybersecurity risk management reporting framework that aligns with those existing methods, controls and frameworks companies currently employ to manage cybersecurity risks. www.wscpa.org

ublic and private organizations of all sizes have come to terms with an unfortunate new normal: cybersecurity attacks are not a matter of “if,” but “when.” The American Institute of CPAs (AICPA) has been rigorously exploring ways the profession can help companies evaluate and report on their cybersecurity risk management programs, and supply key stakeholders with crucial information about those programs. “Our market-driven, flexible and voluntary cybersecurity risk management reporting framework builds upon the profession’s experience in auditing system and organization controls,” said AICPA Executive Vice President Susan S. Coffey, CPA, CGMA. “It creates a common language for reporting that enables companies to demonstrate that they are taking a strategic, agile approach to addressing cybersecurity that is integrated with broader enterprise risk management efforts.” Resources for Implementing the Framework To help organizations use the framework to communicate about, and CPAs to report on cybersecurity risk management programs, the AICPA has produced three resources: two sets of distinct but complementary criteria and an attestation guide. The AICPA’s description criteria are for use by an organization’s management to explain its cybersecurity risk management program in a consistent manner, as well as for use by CPAs to report on management’s description. CPAs will use control criteria to provide advisory or attestation services to evaluate and report on the effectiveness of the controls within a client’s program. “We developed our criteria to promote consistency and comparability of cybersecurity information provided by different entities. They constitute what is analogous to a US GAAP or IFRS for

financial reporting, but in this case, for cybersecurity risk management reporting,” said Coffey. “Cybersecurity experts, regulators and senior leaders of organizations and firms informed our efforts. Additionally, we looked at the information needs of board members, analysts, investors, business partners, regulators and other users.” In May, the AICPA released the third resource, an attestation guide entitled Reporting on an Entity’s Cybersecurity Risk Management Program and Controls, which assists CPAs engaged to examine and report on an entity’s cybersecurity risk management program. Many Ways to Support Stakeholders Using the framework, CPAs can better serve client needs and protect the public interest. “We’ve created an engagement that takes a consistent professionand market-driven approach, allowing CPAs to examine and report on an entity’s cybersecurity measures in a way that addresses the information needs of a broad range of users,” said Coffey. “We think this will provide organizations with a level of comfort that they’ve adequately considered the best practices covered by the most commonly referenced control and cybersecurity frameworks, regardless of which cybersecurity risk management frameworks they’ve chosen to implement internally.” Recognizing that companies’ risk management maturity varies across the WashingtonCPA Summer 2017

market, the AICPA developed the framework so that CPAs can better advise clients on cybersecurity readiness and prepare companies that are considering a cybersecurity attestation engagement. Within businesses, CPAs and CGMAs can provide risk management insight and introduce stakeholders to the framework as a means of strengthening and communicating about cybersecurity risk management programs.

6 Tips for Successful Enterprise Risk Management By Ash Noah, CPA, CGMA, VP of CGMA External Relations, AICPA

Implementation Tips for Success ERM differs from traditional approaches to risk oversight that focus on managing silos or distinct pockets of risks. ERM emphasizes a top-down, holistic view of key risks potentially affecting an organization’s ability to achieve its objectives. www.wscpa.org

It’s not just about protecting the organization’sxtangiblexandxfinancial assets; rather, ERM focuses on the enterprise-wide risks that have the potential to derail your business strategy. Implementing ERM in an organizationxshouldxnotxbexburdensome, however. Here are a few tips to help you get started:

1. Get buy-in from the top. ERM must start at the top with the board and CEO, and include the senior management team being committed to implementing a formal process and proactively managing risks. Also ensure that the importance of ERM and why it’s being implemented is communicated to all levels in the organization. 2. Talk with your CFO. As financial leaders, they are already deeply involved in managing traditional and financial risks, and thus play a critical role in understanding how a structured way of managing business risks will better help to identify and mitigate issues that can take your organization off track. 3. Perform a risk process inventory. Take a look at what your organization is already doing to mitigate risk to avoid duplication of efforts. Your organization may already be doing a quite a bit in the risk area, so when you implement a program you won’t necessarily need to engage in a whole new set of activities that’ll increase the team’s workload. 4. Adopt a framework. Research and adopt a risk management framework that works for your organization.The framework suggested by COSO is a robust and popular version. 5. Pinpoint the biggest threats. Work across the enterprise to identify the risks which have the highest impact and the highest likelihood to occur. This

iven the increasingly digital and interconnected global environment, business risks are occurring with greater frequency and velocity than ever before. Boards and senior management know this and are calling for more effective risk oversight, including the adoption of a holistic approach to risk management known as “Enterprise Risk Management” or ERM. A recent survey by the American Institute of CPAs (AICPA) and North Carolina State University, however, found that only 28 percent of companies have a complete ERM process in place. Additionally, less than half of companies have a partial ERM process in place, with some, but not all risks addressed. Those are pretty low numbers. Many people associate the term ERM with a big enterprise initiative — and something too formal, burdensome and unnecessary for an organization to take on, especially if it’s not mandated. Even for companies that do have ERM in place, its true value often isn’t realized since it’s perceived as a mundane “checking the box” exercise. However, risk impacts everyone. It’s not limited to any one industry or size company. And the value that ERM can provide to large and small organizations alike should not be overlooked. In this environment of unprecedented risk, ERM is imperative. If companies want to create and maximize value for their shareholders and stakeholders, they must approach and evaluate risk in a very systematic way.

6. Keep processes up to date. Implementing an ERM process is not a one-off exercise. Review the risk registers and mitigation plans regularly to keep them up to date and ready for deployment. ERM, if not viewed as an exercise in compliance, is an opportunity to empower your organization. Engaging in risk management in a systematic way — including looking holistically both within your own organization as well as at external risks that may impact your organization — will improve business performance and governance, and is critical in this volatile business environment. Member Profile: Chad Daw, CPA By Cory Wilmarth, Assistant Editor

C

had Daw, CPA, is a Senior Audit AssociatexatxSweeney Conrad in Bellevue, Washington. Born in Salt Lake City, Utah, Chad moved to Puyallup when he was nine months old. At 10, Chad moved to the Bothell area where he has lived ever since. Chad is a true Washingtonian and does not picture himself living anywhere else. Chad first discovered his passion for math at Bothell High School. His father, a mathematician, helped him to develop that gift. Regarding math, Chad said, “I have always liked the logic behind it and how it is a universal language. No matter where you are in the world, 2 + 2 always equals 4.” While in high school, Chad imagined owning a business. He wanted work that would allow him to problem-solve for other people. He enrolled at Bellevue College to earn his Associate’s Degree in Business Administration. He served as a math tutor, considering teaching algebra or calculus, and also considered pursuing a biology degree to become a cancer researcher. When Chad was five, his father was diagnosed with a rare form of brain cancer. His doctors gave him only six months to live, but Chad’s father was able to live another 13 years. At eight, Chad’s mother was diagnosed with colon cancer. She passed away shortly before Chad turned 16. In spite of his grief, Chad was inspired by the strength his parents displayed fighting against their illness. “I watched my parents deal with cancer for my entire childhood,” Chad said. “It wasn’t until they had passed away that I truly understood the magnitude of what had happened to them. I hope to find a cure for cancer so that children and families don’t have to see the people they love go through what my parents did.” Chad found a hero in former North Carolina State basketball coach Jim www.wscpa.org

“Don’t give up. Don’t ever give up.” - Jim Valvano, former coach of the North Carolina State Wolfpack Chad, Jen, and their dog Sven hiking at Mount Si. Valvano. During his career, he was diagnosed with bone cancer and became an icon in the effort to find a cure. His famous words, “Don’t give up. Don’t ever give up,” are engraved on Chad’s parents’ gravestones. “With both of my parents passing away from cancer, he was an inspiration to me and my family to never give up and to always strive for greatness,” said Chad. Though Chad’s career goals have changed, they were always centered on using his passions to assist others. While at Bellevue College, Chad took his first accounting classes and found it to be an ideal career path. Chad transferred to the University of Washington Foster School of Business and majored in accounting. After two years of working as an accountant for ChemPoint, a chemical distributer in Bellevue, Chad earned his CPA. While at ChemPoint, Chad also met the love of his life, Jennifer Howlett. Jen’s sister was also a ChemPoint employee. Jen was running a half-marathon to support her and Team Challenge, an organization dedicated to fighting Crohn’s disease, and that’s where she met Chad. They bonded over their love of athletics, as well as their desire to help those

struggling with illness. Outside the office, Chad is a long-time sports fan, playing basketball and running cross country in high school. “I have always been a very competitive person,” Chad said. Though he doesn’t play much anymore, he loves going to college games and is a University of Washington football season ticket holder. He also likes major league baseball. As a couple, Chad and Jen love hiking. They go on a different hike together each weekend. Traveling is also something they enjoy. Chad said, “Jen and I want to go on a baseball trip every year until we see every stadium and visit a new country every year. We want to see every continent besides Antarctica.” They recently took a trip to the east coast to visit six MLB stadiums. While they were in New York, Chad and Jen got engaged. Though not quite sure about their honeymoon destination – Australia and Peru are both contenders – Chad and Jen are looking forward to whatever adventure lies ahead for them.
